CCI Approves 14.3% Stake Sale in Aditya Birla Housing Finance to Advent’s Indriya in ₹2,750 Crore Deal

Competition commission of India has approved the acquisition of a 14.286% stake in Aditya Birla Housing Finance Ltd (ABHFL) by Indriya Ltd, an entity backed by global private equity major Advent International, paving the way for a ₹2,750 crore capital infusion into the housing finance company.
 
The regulator’s approval marks a key milestone in the transaction, which involves a preferential allotment of equity shares to Indriya on a private placement basis, taking its shareholding to 14.286% of ABHFL’s post-issue paid-up equity capital on a fully diluted basis.
 
In its official release, CCI says, “The proposed combination envisages acquisition of equity shares… amounting to 14.286% of the post-issue paid up equity share capital of the Aditya Birla Housing Finance Ltd… by Indriya Ltd.”
 
The investment, first approved by the board of Aditya Birla Capital Ltd in February 2026, involves a primary capital infusion of ₹2,750 crore into its wholly-owned subsidiary ABHFL.
 
Indriya, the acquiring entity, functions as an investment holding company under Advent International and currently does not have operational business activities in India.
 
The target company, Aditya Birla Housing Finance, is registered with the National Housing Bank (NHB) as a non-deposit-taking housing finance company and operates across segments including home loans, loans against property, construction finance, and lease rental discounting.
 
The approval, granted through a letter dated 7 April 026 under the Competition Act, 2002, brings the transaction closer to completion. The deal, however, remains subject to the fulfilment of customary conditions precedent.
 
With the CCI nod in place, the proposed strategic partnership between Aditya Birla Capital and Advent International has moved into its final stages.
 
The capital infusion is expected to strengthen ABHFL’s balance sheet and support its growth in the competitive housing finance market, particularly at a time when demand for retail home loans and affordable housing finance is witnessing steady traction.
 
The investment also reflects continued interest from global private equity players in India’s financial services sector, especially in lending businesses with strong retail portfolios.
